The Insurance Regulatory and Development Authority of India (IRDAI) has cleared Patanjali Ayurved and the Dharampal Satyapal (DS) Group's acquisition of Magma General Insurance, completing the final regulatory step for a transaction valued at nearly ₹4,500 crore. The approval, issued on 28 July, follows the deal's announcement in March and formally brings Patanjali into India's financial services sector.

Under the transaction, Patanjali will acquire a 73.6% stake in the general insurer, while the DS Group will purchase 24.5%. The shares are being acquired from Sanoti Properties, owned by Adar Poonawalla, along with other shareholders including Celica Developers and Jaguar Advisory Services. Before the deal, Sanoti Properties held 72.4% of the insurer.

A Strategic Diversification Beyond Consumer Goods

IRDAI's approval also designates Patanjali as the promoter of Magma General Insurance, with the company committing to continue capital infusion to strengthen solvency and support future growth.

The DS Group will participate as a co-investor in the acquiring consortium.

For the broader market, the acquisition reflects a growing trend of established consumer businesses diversifying into financial services to unlock new growth opportunities.
